1. Acceptance

By completing the registration process on ScrapTradeMarket (including ticking the acceptance checkbox), you confirm that you have read, understood and agree to be bound by these Terms & Conditions ("Terms"). That acceptance constitutes a legally binding act equivalent to a handwritten signature.

You must be at least 18 years old and have full legal authority to bind the company on whose behalf you are acting. ScrapTradeMarket is a strictly business-to-business (B2B) platform; consumers (natural persons acting outside a trade or profession) may not register.

We will give at least fifteen (15) days' notice of any material changes to these Terms before they take effect.

2. Platform Scope and Object

ScrapTradeMarket is a closed, verified-members-only B2B marketplace for recyclable metals. Its purpose is to connect verified scrap suppliers and foundries so they can publish, browse and contact each other directly in relation to the purchase and sale of scrap and recyclable metals.

ScrapTradeMarket acts exclusively as a neutral intermediary. It does not buy, own, hold, inspect or move any material. Contracts for the sale and purchase of material are formed directly between buyer and seller. ScrapTradeMarket is not a party to those contracts.

Access to marketplace listings and trading functionality requires a company account that has successfully passed the company verification (KYB) process. Non-verified visitors see only a public teaser and cannot interact with listings or other members.

3. Registration and Company Verification (KYB)

To access the marketplace, you must create a company account and submit your company for verification. The verification process requires the submission of documentation including, but not limited to: company incorporation certificate and VAT/tax identification number; identity document of the legal representative; waste-management licence (where applicable); and proof of company bank account.

You warrant that all information and documentation provided during registration and verification is accurate, complete and up to date. You are responsible for updating your details promptly if they change.

Passwords are personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

ScrapTradeMarket reserves the right to reject a verification application or to revoke verified status at any time if the conditions for verification are not or cease to be met.

4. User Obligations and Representations

By using the Platform, you represent and warrant that:

All information provided in your company profile and listings is truthful, accurate and not misleading.

You have the legal right to offer, sell or transfer the material described in any listing you publish.

All material listed complies with applicable laws and regulations, including those relating to classification, quality, packaging, labelling, waste management and environmental protection.

You hold all necessary import, export and customs authorisations required for the international trade of the material you advertise.

You will fulfil all applicable tax and VAT obligations arising from transactions concluded through the Platform.

You will not use the Platform in any way that violates applicable law or third-party rights.

5. Prohibited Conduct

Users must not: publish listings in incorrect categories; infringe the intellectual property rights of third parties; attempt to manipulate prices or deceive other members; create more than one account or transfer an account to a third party; upload spam, malware or any harmful content; scrape, copy or reverse-engineer any part of the Platform; impersonate any person or entity.

6. Listings

By publishing a listing, you make a binding representation that you are ready and able to supply (if a sale listing) or receive (if a buy request) the material described, on the terms stated.

ScrapTradeMarket may require verification before a listing becomes visible (if the platform-level publication gate is active) and may remove any listing that violates these Terms or applicable law without prior notice.

Prices shown in listings are indicative. Any binding price is the one agreed directly between buyer and seller.

7. Transactions, Payments and Logistics

At the date of these Terms, the Platform supports publish, browse and contact functionality only. On-platform payment processing, escrow and logistics coordination are not yet active.

If and when payment, escrow or logistics features are enabled in the future, the applicable conditions, fees and procedures will be described in a specific addendum or updated version of these Terms, which you will be invited to accept before using those features.

Any non-conformity of material (quality, quantity, damage) must be claimed directly against the seller. ScrapTradeMarket, as a neutral intermediary, bears no liability for material defects, non-delivery or disputes between members.

8. Suspension and Termination

ScrapTradeMarket may suspend or permanently close a company account if: the user breaches these Terms; the information provided proves to be false or misleading; the company loses its verified status; the account has been inactive for a prolonged period; or applicable law requires it.

Where practical, we will provide at least 48 hours' notice before suspension. In cases of serious or repeated breach, or where urgent action is required to protect other members or the Platform, we may act immediately.

A user whose account has been suspended or terminated for breach of these Terms may not re-register without prior written consent from ScrapTradeMarket.

9. Intellectual Property

All intellectual property rights in the Platform — including its design, code, databases, logos and trademarks — are owned by or licensed to ScrapTradeMarket. Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for the purposes permitted by these Terms.

Users retain ownership of the content they publish (listings, descriptions, etc.) but grant ScrapTradeMarket a licence to display, distribute and moderate that content within the Platform.

10. Data Protection

The processing of personal data in connection with the Platform is governed by our Privacy Policy, which forms an integral part of these Terms. By accepting these Terms you also acknowledge having read the Privacy Policy.

11. Limitation of Liability

ScrapTradeMarket is a neutral intermediary and is not liable for: losses arising from transactions between members; material quality, quantity or non-delivery; non-payment by a buyer; delays or failures in logistics (when and if logistics services are enabled); or temporary unavailability of the Platform due to maintenance or technical failure.

To the maximum extent permitted by applicable law, ScrapTradeMarket's aggregate liability arising out of or in connection with the Platform shall not exceed the amounts paid by the relevant user to ScrapTradeMarket in the twelve (12) months preceding the event giving rise to the claim (or, if no amount has been paid, EUR 100).

Nothing in these Terms limits liability for fraud, wilful misconduct or death or personal injury caused by negligence.

12. Force Majeure

Neither party shall be liable for failure or delay in performing its obligations to the extent caused by events beyond its reasonable control, including natural disasters, strikes, acts of government, or failure of third-party infrastructure.

13. No Consumer Right of Withdrawal

ScrapTradeMarket is a strictly B2B platform. Consumer protection legislation, including the right of withdrawal applicable to consumer contracts, does not apply to transactions or agreements concluded through this Platform.

14. Governing Law and Jurisdiction

These Terms are governed by Spanish law.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the courts of [jurisdicción/foro], unless the parties agree in writing to submit to arbitration.

15. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

Failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms constitute the entire agreement between the parties regarding use of the Platform and supersede any prior agreements on the same subject.
